Terms and Conditions
TERMS AND CONDITIONS FOR THE SUPPLY OF B2B TRAINING SERVICES
(Governed by the Laws of England and Wales)
1. Formation of Contract and Booking Process
1.1 Online Inquiry: Any inquiry, registration, or schedule request submitted via the Company’s website is a request for consultation and assessment only. No binding contract is formed, and no fees are charged at the point of online submission.
1.2 The Contract: A legally binding contract is only formed when the Client provides written acceptance (via email, signed Statement of Work, or Purchase Order) of a formal, written Quotation issued by the Company.
2. Group Size & Delegate Restrictions
2.1 Cohort Capacity: The standard contract Fee specified in the Quotation covers a single cohort of up to five (5) participants.
2.2 Exceeding Capacity: No additional participants may attend the training without the prior written consent of the Company. If the Company agrees to accommodate extra participants, an additional per-head fee will be invoiced to the Client as specified in the Quotation.
2.3 Substitutions: The Client may substitute individual participants at no extra charge up to 24 hours before the training starts, provided the new participants meet any pre-requisite knowledge requirements for the specific course.
3. Venue & Site Requirements
3.1 Client-Hosted Training: If training occurs at the Client's site, the Client must provide a safe, clean room with appropriate utilities, AV equipment, and presentation screens.
3.2 Company-Hired Venues: If the Company hires a venue specifically for the training engagement, the Client is legally liable for 100% of the venue's non-refundable booking fees immediately upon acceptance of the Quotation, regardless of any subsequent cancellations or postponements.
3.3 Hazardous Location Training Safety: For Hazardous Location courses, if practical demonstrations or site walk-throughs are required:
The Client must provide all necessary Personal Protective Equipment (PPE) to the Company's trainer.
The Client warrants that the site fully complies with all applicable UK health and safety legislation, including the Health and Safety at Work etc. Act 1974 and DSEAR 2002 where relevant.
The Company reserves the right to suspend training immediately without refund if the trainer deems the environment unsafe.
4. Fees, Invoicing, and Payment
4.1 Payment Terms: A deposit of 50% of the total quoted Fees is due upon acceptance of the Quotation to secure the dates and trainer allocation. The remaining 50% balance is due 14 days prior to the scheduled start date.
4.2 Late Payment: The Company reserves the right to suspend or cancel the training if payments are not received by the due dates. Late payments will incur interest and compensation under the Late Payment of Commercial Debts (Interest) Act 1998.
5. Cancellation, Postponement, and Fees
Because trainers are booked for multi-day periods and bespoke strategic preparation begins early, the following strict timelines apply to any written cancellations or rescheduling requests:
5.1 More than 30 Calendar Days Notice: Requests to reschedule may be made once at no penalty. Cancellations will incur a fee equal to 25% of the total contract value to cover administration and initial custom technical or strategic scoping.
5.2 15 to 30 Calendar Days Notice: Cancellations incur a fee equal to 75% of the total contract value. Requests to reschedule will incur a fee equal to 50% of the total contract value to offset trainer allocation losses.
5.3 14 Calendar Days or Less Notice (or No-Show): Cancellations or requests to reschedule incur a 100% fee of the total contract value. No refunds, credits, or date shifts will be issued.
5.4 Reimbursable Expenses: In all cancellation or postponement scenarios, the Client must fully reimburse the Company for any non-refundable travel, accommodation, or venue logistics expenses already committed to or paid by the Company.
6. Intellectual Property (IP)
6.1 Ownership: The Company retains sole ownership of all intellectual property rights in the training materials, slide decks, hazardous location guides, and sales frameworks provided.
6.2 Usage License: The Client is granted a non-exclusive, non-transferable license to use the materials for the internal training of the 5 designated participants only. Materials must not be copied, shared externally, or used to train other employees without a separate licensing agreement.
7. Performance Framework and Strategic Implementation
7.1 Provision of Strategy: The Company provides high-impact strategic frameworks, engineering methodologies, and commercial techniques designed to drive significant performance improvements. However, the Client acknowledges that the ultimate success of these strategies depends on factors outside the Company's control, and therefore the Company cannot guarantee specific quantitative commercial or technical results.
7.2 Implementation and Management: The blueprints and strategies delivered during the training require sustained, long-term execution and active reinforcement by the Client’s management team. The Company is not responsible for the depth, consistency, or accuracy of the strategy's implementation by the Client’s personnel post-training.
7.3 External Variables and Product Performance: The Client explicitly acknowledges that overall business performance is subject to external variables. The Company shall not be held liable for commercial or operational outcomes affected by:
Market Conditions: Shifts in industry demand, economic factors, or competitor actions.
Product/Assembly Performance: The inherent quality, design, or engineering integrity of the Client’s own products, components, or manufacturing assemblies.
7.4 Operational Sign-Off: While the training provides best-practice engineering and sales strategies, the Client retains exclusive responsibility for operational sign-off, safety compliance, and final commercial decisions.
8. Limitation of Liability & Force Majeure
8.1 Cap on Liability: The Company’s total aggregate liability in contract, tort (including negligence), or otherwise arising in connection with this agreement shall be limited to the total Fees paid by the Client under the applicable Quotation.
8.2 Exclusions: The Company is not liable for any secondary or consequential losses, including but not limited to Client operational downtime, loss of profits, or internal staff costs. Nothing in this agreement limits liability for death or personal injury caused by negligence.
8.3 Force Majeure: Neither party shall be liable for failure to perform duties due to acts of God, extreme weather, strikes, or government mandates.
9. Governing Law and Jurisdiction
9.1 Law: This contract and any dispute or claim arising out of it shall be governed by and construed in accordance with the laws of England and Wales.
9.2 Jurisdiction: Both parties irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim.
